Foundation Board
Organization
The Foundation Board consists of at least three members and shall constitute itself. If a member retires from the Foundation Board, the Foundation Board shall find a replacement; in so doing, only such persons shall be considered as members who are associated with the purpose of the foundation trough their engagement and/or prior commitment.
The Foundation Board consists of the following individuals:
Competencies
The Foundation Board is responsible for the management of the foundation and it represents the foundation externally. It makes its decisions in accordance with the provisions of the foundation charter and these statutes in respect of all matters pertaining to the foundation.
The Foundation Board shall draw up rules of procedure on the details of its organization and management. These rules of procedure can be amended by the Foundation Board whenever required, within the scope of its purpose.
The Foundation Board is entitled to delegate individual authority to one or more of its members or to a third party.
The following responsibilities of the Foundation Board may not be delegated:
The Foundation Board is responsible for proper accounting and shall report to the supervisory authorities on an annual basis. The financial year comprises the period from April 1 to March 31 in any year. The first annual financial statements will be prepared as per MArch 31, 2008.
The President of the Foundation Board and the remaining members serve on a voluntary basis. Any expenses shall be reimbursed at cost. Any additional – work-intensive – services may be reimbursed as appropriate on a case by case basis.
Advisory Board
Organization
The Advisory Board consists of the following individuals who are associated with the purpose of the foundations through their attitude and/or prior commitment:
The members of the Advisory Board, their functions and the signature requirements are determined by the Foundation Board.
Responsibilities
The Advisory Board is responsible for the evaluation of suitable projects and candidates, suggested by the Foundation Board with regard to the receipt of foundation monies and supports the Foundation Board in selecting suitable beneficiaries and in deciding the amount to be paid.
The members of the Advisory Board serve on a voluntary basis. Any expenses shall be reimbursed at cost. Any additional – work-intensive – services may be reimbursed as appropriate on a case by case basis.
Foundation Secretariat
The secretariat shall provide support to the Foundation Board and the Advisory Board with regard to the administrative and organizational management of the foundation. In addition, the secretariat shall maintain contact to interested parties.
Review Panel
The Foundation Board shall appoint an independent, external Review Panel, which is to audit the accounts of the foundation on an annual basis and to present the Foundation Board with a detailed audit report including an application for adoption on the results of such audit. In addition, it shall monitor observance of the provisions of the statutes (Charter and rules of procedure of the foundation) and adherence to the purpose of the foundation.
